VIP PACKAGE WAIVER OF LIABILITY AND HOLD HARMLESS AGREEMENT

You are participating in a Derek Hough VIP package experience and/or meet & greet event (“VIP Experience”). This waiver reflects the rights and obligations of you and your guests, relating to your purchase of and participation in the VIP Experience as they relate to Derek Hough, Mojave Ghost LLC, Live Nation Worldwide, Inc., VIP Nation, Venetian Las Vegas Gaming, LLC, Expo and Convention Center LLC, and their parents and subsidiaries, members, agents, officers, directors, affiliates, employees, contractors, successors and assigns (collectively, operators of the VIP Experience and venue for the VIP Experience, and hereunder referred to as “us,” “we,” “our” or “Released Parties”).

Adherence to Standards. You agree to act in accordance with the rules established by us during your participation in any activity related to the VIP Experience. You agree not to engage in any illegal or inappropriate activities, including but not limited to the use of illegal drugs or contraband (or alcohol if you are under the age of 21), engaging in acts that are considered disturbing to the operations of the VIP Experience or the operations of the venue or area in which VIP Experience activity is taking place or any of the artists participating in the respective performance. We reserve the right to remove you from any activity at any time for failure to abide by the terms of this agreement or other rules set forth at any time by us. In the event you are removed, we shall not be obligated to refund any amounts paid by you.

Event Modification and Cancellation. We reserve the right to cancel or modify the VIP Experience before or during its operation for any reason, including emergencies or unavailability of facilities or personnel. No refunds or exchanges; all sales are final.

Release of Image. By participating in the VIP Experience, you hereby agree that your name, photographic and/or video image, likeness and voice (including any statements, interviews, or performances by you) may be used in any media, whether now known or hereafter invented, throughout the world for any purpose whatsoever.

Assumption of Risk. You fully understand and acknowledge that by purchasing and participating in a VIP Experience, you and your guests may be exposed to risks of injury or harm associated with live musical events, backstage activities, and social activities in general, including but not limited to: communicable diseases, very low light, very bright light, very loud environment, pyrotechnics, lasers, strobe lights, confetti canons, streamer blasts, scaffolding, backstage operations, slippery surfaces, backstage and on-stage fixtures, cabling, electrical equipment, metal staging, other concert attendees, security and road personnel performing their duties, and photographers and videographers filming the show.

Release of Claims; Defense, Indemnity. You release, and agree to defend, indemnify and hold harmless, the Released Parties from and against all claims (known and unknown), liabilities, injuries, death, loss and/or damages of any kind arising from your participation in the VIP Experience, or the acceptance, possession or use or misuse of the VIP Experience or any related events, activities or merchandise. You assume all risks associated with the VIP Experience and/or use or misuse of any related merchandise, and you agree that the Released Parties will not be responsible or liable for any injury, harm, death, damages, costs or expenses whatsoever. In the event any claim reasonably believed by the Released Parties to be subject to indemnification under this Agreement is asserted against them, the Released Party will provide timely notice of such claim to you and you will thereafter, at your own expense, defend and protect the Released Parties against such claim. Should you be unable or fail to so defend the Released Parties, each of them shall have the right to defend or settle such claim, and you shall reimburse the Released Parties for all settlements, judgments, fees, costs, expenses, and payments, including reasonable attorney’s fees, incurred by the any of them in connection with the discharge of such claim.

Disputes. The laws of the state of Nevada shall govern this Agreement, and the venue for dispute resolution shall be the court of proper jurisdiction located in or nearest to Las Vegas Nevada. In the event of any action or claim arising out of or related to this Agreement, each Party shall be entitled to all remedies in law or equity.

Agreement Binding. This Release shall be binding upon and inure to the benefit of the parties hereto and their heirs, executors, administrators, successors and permitted assigns.
